Terms of Service

1. Introduction and Description of the Service

Welcome to AGUDOT (the "Service"), operated by [Company Name Ltd.] (the "Company", "we" or "us"). These Terms of Service (the "Terms") govern your access to and use of the Service, including our website, dashboard and automated advertising tools. By creating an account or using the Service, you confirm that you have read these Terms and agree to be bound by them.

The Service provides automated management of Facebook (Meta) advertising on your behalf. This includes, among other things: analysis of your website and business, creation and configuration of advertising campaigns through the Meta Marketing API, ongoing automatic optimization of active campaigns, management of your advertising budgets within the spending cap you configure, and automatic generation of advertising creatives such as images and videos.

2. Your Account and Obligations

You must provide accurate and complete information when registering and keep it up to date. You are responsible for keeping your login credentials confidential and for all activity carried out under your account. Please notify us immediately of any unauthorized use of your account.

You must be at least 18 years old and authorized to bind the business on whose behalf you use the Service. You undertake to comply with Meta's advertising policies and with all applicable law in connection with the products and services you advertise, including rules that apply to regulated products.

3. Subscriptions, Billing and Payments

The Service is provided as a monthly subscription. Plans and prices are listed on our website in New Israeli Shekels (ILS). Subscription fees are charged monthly in advance through Tranzila, our payment processor. Your card details are held by Tranzila and are not stored on our servers.

Your subscription renews automatically every month until cancelled. If a recurring charge fails, we will retry the charge over the following days. If the payment is still not settled, your account will be frozen and the automation will be paused until the outstanding payment is resolved.

Your actual advertising spend (the media budget) is paid by you directly to Meta and is not included in the subscription fee. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Refunds, where applicable, are handled in accordance with the Israeli Consumer Protection Law.

4. Authorization to Act on Your Facebook Ad Account

By connecting your Facebook account to the Service, you grant the Company explicit permission to act on your ad account on your behalf: to create, edit, pause and delete campaigns, ad sets and ads; to upload advertising creatives; and to set and adjust budgets — up to the budget cap you configure in your dashboard. The Company will not exceed the cap you have configured.

You remain the owner of your Facebook ad account and remain responsible towards Meta for it, including for payment of advertising costs to Meta. You may revoke this authorization at any time by disconnecting your Facebook account from the Service.

5. Content and Intellectual Property

Advertising creatives generated by the Service for you (such as images, videos and ad copy) become yours: subject to full payment of the applicable fees, you receive full rights to use them in your marketing. The Company may make anonymized use of data and creatives in order to improve the Service.

You represent and warrant that any material you provide to the Service (such as your logo, product photos and website content) does not infringe the rights of any third party. The Service itself — including its software, design and brand — remains the exclusive property of the Company.

6. Disclaimers and Limitation of Liability

The Company does not guarantee any advertising results, performance levels or return on investment. Advertising outcomes depend on many factors that are outside the Company's control, including your market, your products, your budget and the behavior of the advertising platform.

The Service depends on the Meta platform. API availability, advertising policy changes, ad review decisions, and restrictions or suspensions of ad accounts are determined solely by Meta, and the Company is not responsible for them.

The Service is provided as is. To the maximum extent permitted by law, the Company's aggregate liability in connection with the Service is limited to the subscription fees you paid in the three months preceding the event giving rise to the claim, and the Company will not be liable for any indirect or consequential damages, including loss of profits and advertising budgets.

7. Termination

You may cancel your subscription at any time through the dashboard. The Company may suspend or terminate your access to the Service in cases of breach of these Terms, non-payment or unlawful use.

Upon termination, the automation stops and your managed campaigns are paused (or left running as they are, at your choice). All assets in your Meta ad account remain in your hands.

8. Changes to These Terms

We may update these Terms from time to time. In the case of a material change, we will notify you at least 14 days in advance by email or through the dashboard. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv-Jaffa will have exclusive jurisdiction over any dispute arising from these Terms or from use of the Service.
